Version: 0.9.0-ea.6 (Early Access) • Effective Date: September 30, 2026 • Status: Ready for publication (READY_FOR_PUBLICATION)

1. General Provisions and Software Operator

These Terms of Service and End-User License Agreement (hereinafter referred to as the "Terms" or "EULA") govern the use of the All-G StockMate software (including the desktop application for Windows and the mobile application for Android), hereinafter referred to as the "Software" or "Application".

The Owner, Licensor, and Operator of the Software is:
Olga Klasa All G Solutions
Trade Brand: All-G Solutions
Registered Office / Business Address: ul. Stanisława Ignacego Witkiewicza 51 lok. 7, 71-124 Szczecin, Poland
Tax Identification Number (NIP): 6731884436

General Contact Email: contact@allgstockmate.com

By downloading, installing, launching, or using the Software, you enter into a binding agreement with the Licensor subject to these Terms. If you do not agree to these Terms, you must not download, install, or use the Software.

2. License Grant and Intellectual Property Rights

  1. Scope of License: The Licensor grants the User a limited, non-exclusive, non-transferable, revocable license to install and use the Software in executable (binary) form solely for its intended purpose of managing inventory and warehouse operations.
  2. No Source Code Rights: The license grants no rights, title, or interest in or to the Software source code. All intellectual property rights, copyrights, database rights, trade secrets, and trademarks of All-G Solutions and All-G StockMate remain the sole and exclusive property of the Licensor.
  3. Ownership of User Data: The User retains full and exclusive ownership of all inventory catalogs, item records, stock quantities, and invoice files/documents entered into or processed by the Application. Using the Software does not transfer any rights in User data to the Licensor.

3. Early Access Program Terms and Free / Standard Tiers

  1. Early Access Status: Version 0.9.0-ea.6 of the Software is provided under an Early Access program for functionality, ergonomics, and stability verification.
  2. Complimentary Access through December 31, 2026: Through December 31, 2026, all features included in the Free and Standard tiers remain completely free of charge for all registered Early Access participants.
  3. Subsequent Pricing and Terms: After December 31, 2026, the Licensor may introduce paid subscription tiers or commercial licensing for continued use of the Standard tier. Early Access participants may receive preferential transition conditions (such as via the Founder Program), which will be announced in advance. These Terms do not guarantee perpetual free access to the Standard tier beyond the promotional period.

4. Nature of Early Access and Absence of SLA Warranties

  1. Experimental and Evolution Nature: The User acknowledges that Software provided in Early Access is actively evolving. It may contain software bugs, functional defects, or unexpected behaviors on specific hardware or network configurations.
  2. No Service Level Agreement (SLA): For the Early Access release, the Licensor provides no warranty or guarantee of uninterrupted availability, error-free operation, or specific SLA metrics.
  3. Provided "As Is": To the maximum extent permitted by applicable law (including mandatory consumer protection provisions), the Software is provided on an "as is" and "as available" basis, without warranties of merchantability or fitness for a particular purpose.

5. User Responsibility for the Local Environment and Backups

  1. Local-First Architecture: StockMate is an on-premise, local-first application and does not function as an automated cloud backup service.
  2. User's Exclusive Responsibilities: The User is solely responsible for:
    • the operational integrity, physical security, and power supply of the Windows computer hosting the database;
    • workstation protection against malware and cyber threats;
    • routinely and independently creating off-site or external backups of the local SQLite database file (inventory.db).
  3. Risk of Data Loss: Because the Licensor maintains no copy of the User's local database, the Licensor cannot restore or recover lost data in the event of local hardware failure or accidental deletion.

6. Local Area Network (LAN) Security in Early Access

  1. Cleartext HTTP Disclosure: In the current Early Access release, network communication between the Android mobile client and the Windows desktop occurs across the local network (LAN) over unencrypted cleartext HTTP (http://<ip>:<port>).
  2. No In-Transit Encryption on LAN: The local connection does not use TLS/HTTPS encryption.
  3. Trusted Private Network Recommendation: The User should operate the mobile-to-desktop connection exclusively on secure, private local networks (such as a password-protected WPA2/WPA3 private company or home Wi-Fi). The mobile connection should not be used on open, public, or untrusted Wi-Fi hotspots.

7. Invoice Document Recognition (OCR) Assistant Disclaimer

  1. Assisted Automation Tool Only: The automated invoice recognition module (Docling / RapidOCR) is an automated data-entry assistant tool only.
  2. Mandatory Human Verification: Optical character recognition algorithms may produce recognition errors, misread tax numbers, miscalculate amounts, or misinterpret line items. The User has a strict obligation to review, verify, and confirm all extracted fields against the physical or original digital document before approving any record.
  3. Not an Accounting or Tax Advisory System: All-G StockMate is NOT an accounting system, tax calculation software, or licensed tax advisor. The Licensor disclaims all liability for tax discrepancies, incorrect VAT filings, or bookkeeping errors arising from unverified OCR data.

8. Requirement of Explicit Inventory Authorizations

  1. No Automatic Inventory Posting: Processing an invoice through the OCR module or creating an invoice draft does not automatically modify inventory balances.
  2. Deliberate User Approval: Increasing stock counts, verifying line-item delivery resolutions, and associating items with warehouse locations require explicit, conscious approval actions performed by the User in the Application interface.

9. Third-Party Components

  1. The Software incorporates third-party open-source and proprietary components, notably the Google ML Kit Barcode Scanning SDK provided by Google LLC.
  2. Use of third-party components is governed by their respective licenses and terms (including the Google Privacy Policy: https://policies.google.com/privacy).

10. Status of the OCR Improvement Program

  1. No Automatic Document Harvesting: In version 0.9.0-ea.6, the OCR Improvement Program is completely inactive (OCR_IMPROVEMENT_COLLECTION_ACTIVE=NO).
  2. Separate Explicit Consent Required: Acceptance of these Terms DOES NOT constitute consent to submit documents, invoices, or inventory records for model training. Any future participation in document collection programs will be strictly voluntary and require an explicit, separate opt-in consent.

11. Early Access User Feedback and Suggestions

  1. The User may voluntarily provide feedback, bug reports, feature suggestions, or usability observations ("Feedback") to the Licensor.
  2. Providing Feedback does not transfer ownership of the User's inventory data or business records.
  3. The User grants the Licensor a non-exclusive, perpetual, royalty-free, worldwide license to utilize, implement, and incorporate the suggestions and ideas contained in such Feedback into the Software.

12. Prohibited Uses of the Software

The User agrees not to:

  1. Use the Software in violation of any applicable local, national, or international law or regulation;
  2. Attempt to reverse engineer, decompile, disassemble, or extract source code from the Software, except to the extent permitted by mandatory statutory provisions;
  3. Remove, obscure, or alter any proprietary notices, copyright tags, or trademark labels affixed to the Software;
  4. Distribute, lease, sublicense, resell, or publicly host installation binaries of the Software without prior written authorization from the Licensor;
  5. Attempt to breach, bypass, or compromise the technical protections or security boundaries of the Software.

13. Limitation of Liability

  1. Statutory Limitations: To the maximum extent permitted by applicable law, the Licensor shall not be liable for:
    • any indirect, incidental, special, punitive, or consequential damages;
    • loss of profits, commercial interruption, lost business opportunities, or lost goodwill;
    • loss, corruption, or destruction of inventory data caused by hardware malfunctions, lack of backups, or security breaches on the User's local network;
    • errors resulting from the User's failure to verify OCR-extracted document records.
  2. Mandatory Applicable Law: The scope and limitations of the Licensor's liability are subject to mandatory applicable law. Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited.

14. Consumer Rights Safeguard

  1. Nothing in these Terms shall exclude or restrict any statutory rights, warranties, or remedies that cannot be lawfully waived or limited by consumers under mandatory legal provisions (including European Union and Polish consumer protection legislation).
  2. If any provision of these Terms is found to be invalid or unenforceable with respect to a consumer, the remaining provisions shall continue in full force and effect.

15. Amendments, Termination, and Governing Law

  1. Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Republic of Poland, without prejudice to the mandatory consumer protection provisions of the country of the consumer's habitual residence.
  2. Termination: The User may terminate this agreement at any time by ceasing all use and uninstalling all components of the Software. The Licensor may terminate the license with immediate effect if the User materially breaches these Terms.
  3. Modifications: The Licensor may update these Terms to reflect technical evolution, functional additions, or regulatory updates. Updated terms will be published in the Software repository with an updated effective date.
